AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lesmez Legacy Coaching LLC, doing business as Dynasty Barber University and Dynasty Beauty University ("we," "us," or "our"), governing your access to and use of our website at https://www.db-university.com, our booking application, our coaching programs, our network membership program, and all related services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

These Terms apply to all visitors, users, and others who access or use our Services. Additional terms may apply to specific programs, agreements, or services and will be presented to you at the time of enrollment.

SECTION 1 — DESCRIPTION OF SERVICES

Dynasty Barber University and Dynasty Beauty University provide the following services:

• Online coaching programs for barbers and beauty professionals
• A booking application for appointment scheduling and client management
• A network membership and referral program with a commission structure
• Educational training modules and course content
• Group and one-on-one coaching calls
• SMS and email communications related to your account and our services
• Live events and mastermind programs

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice to active users.

SECTION 2 — ELIGIBILITY

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Provide accurate, current, and complete information when creating an account or enrolling in any program

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone for any reason at any time.

SECTION 3 — SMS COMMUNICATIONS AND CONSENT

This section governs your consent to receive SMS text messages from Dynasty Barber University and Dynasty Beauty University and is provided in connection with our Twilio toll-free number registration.

3.1 — SMS Consent

By checking the SMS consent box on any of our website forms and providing your phone number, you expressly consent to receive text messages from us at the phone number you provide. This consent covers the following message types:

• Appointment reminders and booking confirmations
• Payment confirmations and account updates
• Program updates and coaching session reminders
• Promotional offers, news, and marketing communications

3.2 — Consent Not Required for Purchase

Consent to receive SMS messages is not a condition of purchase. You may purchase our products and services without consenting to receive marketing SMS messages.

3.3 — Message Frequency and Rates

Message frequency will vary depending on your account activity and the programs you are enrolled in. Standard message and data rates may apply based on your mobile carrier plan.

3.4 — How to Opt Out

You may opt out of SMS communications at any time by:

• Replying STOP to any SMS message you receive from us — you will receive one final confirmation message and will not receive further marketing SMS messages
• Replying HELP for assistance
• Contacting us directly at the email address in Section 12

3.5 — SMS Provider

Our SMS communications are delivered through Twilio. Your phone number and related data are processed by Twilio as our service provider. Twilio does not use your phone number for their own marketing purposes.

SECTION 4 — ACCOUNTS AND REGISTRATION

4.1 — Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information and to update this information as necessary to keep it accurate.

4.2 — Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 — Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any conduct we determine to be harmful to our Services, our members, or our brand.

SECTION 5 — PAYMENTS AND SUBSCRIPTIONS

5.1 — App Subscription

Access to the Dynasty Barber University booking application requires an active monthly subscription of $97.00 per month. Your subscription will automatically renew each month unless cancelled. You authorize us to charge your payment method on file on a recurring monthly basis.

5.2 — Coaching Program Fees

Coaching program enrollments are subject to the fees stated at time of purchase. Payment plan options may be available. By enrolling, you commit to the full program fee regardless of the payment schedule selected.

5.3 — Payment Processing

Payments are processed by Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service. We do not store your full payment card information on our servers.

5.4 — Refund Policy

All sales are subject to the refund policy stated in your applicable enrollment agreement. A 30-day conditional refund window applies to coaching program purchases as defined in the relevant coaching agreement. App subscription fees are non-refundable once the billing cycle has begun. Please review your enrollment agreement for complete refund terms.

5.5 — Price Changes

We reserve the right to change our subscription and program pricing at any time. We will provide at least 30 days notice of any price changes to existing subscribers. Founding Members who enrolled before June 7, 2026 at 11:59 PM ET are subject to the price lock terms stated in their Network Membership Agreement.

SECTION 6 — NETWORK MEMBERSHIP AND COMMISSIONS

Participation in the Dynasty Barber University and Dynasty Beauty University network referral program is governed by your separately executed Network Membership Agreement, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Network Membership Agreement, the Network Membership Agreement shall control with respect to network and commission matters.

You acknowledge that participation in the network referral program is optional and that income from commissions is not guaranteed. Please review the Income Disclosure Statement available at https://www.db-university.com/income-disclosure before making any income-related decisions.

SECTION 7 — ACCEPTABLE USE

By using our Services, you agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable law or regulation
• Make false or misleading income claims in connection with our programs or network
• Reproduce, distribute, or resell any of our proprietary content, training materials, or systems without written permission
• Attempt to gain unauthorized access to any part of our Services or systems
• Use our Services to transmit spam, unsolicited communications, or malicious content
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Engage in any activity that interferes with or disrupts our Services or the servers connected to our Services
• Publicly disparage Dynasty Barber University, Dynasty Beauty University, Lesmez Legacy Coaching LLC, or Esteban Lesmez
• Use our brand name, trademarks, or intellectual property without express written permission

SECTION 8 — INTELLECTUAL PROPERTY

All content, training materials, course modules, systems, scripts, frameworks, branding, logos, and other materials provided through our Services are the intellectual property of Lesmez Legacy Coaching LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our content solely for your personal use in connection with your enrollment in our programs. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without our express written permission.

SECTION 9 — DISCLAIMER OF WARRANTIES

OUR SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. We do not warrant that the results of using our Services will meet your expectations or achieve any specific income outcome.

SECTION 10 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, LESMEZ LEGACY COACHING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or related to these Terms or our Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

SECTION 11 — DISPUTE RESOLUTION

11.1 — Informal Resolution

Before initiating any formal dispute process, you agree to contact us and attempt to resolve the dispute informally for a period of at least 30 days.

11.2 — Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

11.3 — Mandatory Arbitration

Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration in Miami-Dade County, Florida. You waive your right to a jury trial and to participate in a class action lawsuit.

11.4 — Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the Effective Date and notify you via email or website notice. Your continued use of our Services after any changes constitutes your acceptance of the updated Terms.
